Terms of Service

These Terms of Service (“Terms”) govern your use of the Service Well platform operated by Service Well LLC d/b/a Service Well (“Service Well,” “we,” “us,” or “our”). By accessing or using our services, you agree to these Terms.

1. Service Description

Service Well is an AI-powered training platform for restaurant teams. The platform enables managers to create training content, quizzes, and flashcards, and enables staff to complete training on their mobile devices. Features include AI-generated content, spaced repetition flashcards, quiz scheduling, analytics, and menu product management.

We continuously improve the platform and may add, change, or remove features. We will provide reasonable notice of changes that materially reduce the service’s core functionality.

2. Accounts

To use Service Well, an organization must create a manager account. Managers can then invite staff members to join. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

There are two account types:

  • Manager accounts: Free. Unlimited per organization. Administrative access only — managers cannot take quizzes or access learner features.
  • Staff accounts: Paid. Staff access training features including quizzes, flashcards, study materials, and progress tracking.

Eligibility. You must be at least 18 years old to create a manager account, subscribe, or manage billing. Staff accounts are made available through the subscribing organization for its employees and staff. Staff members must be at least 16 years old. Where a staff member is under 18, the organization is responsible for obtaining the written consent of the staff member’s parent or legal guardian before inviting them. The organization is responsible for ensuring that every staff member it invites meets these requirements and has consented to be added.

3. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the platform
  • Interfere with or disrupt the service
  • Upload harmful or malicious content
  • Use the AI features to generate content unrelated to restaurant training
  • Share account credentials with unauthorized individuals
  • Resell or redistribute access to the platform

AI-powered features are subject to fair-use limits. We may set or change usage limits, or throttle or temporarily suspend access to these features, where usage threatens the availability, integrity, or cost of the service for other customers.

4. Billing and Payment

Staff accounts are billed monthly at the applicable rate ($25/staff/month standard, or $15/staff/month for founder’s accounts). Your subscription reflects the current number of active staff accounts; when staff are added or removed mid-cycle, charges and credits are prorated automatically from the date of the change.

Active staff accounts include those with a status of “invited” or “active.” Billing is processed through Stripe. A minimum of 3 staff accounts is required to activate billing.

Manager accounts are free and do not count toward billing.

We may change subscription pricing with at least 30 days’ notice; changes take effect at your next billing cycle. A price change never affects a promotional rate — including Founder’s pricing — during the period stated when you subscribed.

5. Cancellation

You may cancel your subscription at any time from your Settings page. Upon cancellation, your subscription will remain active until the end of the current billing period. After that, staff accounts will be deactivated and access to training features will be suspended.

6. Refund Policy

We offer a 30-day money-back guarantee. If you are not satisfied with Service Well within the first 30 days of your subscription, you may request a full refund. See our Refund Policy for full details.

7. Content and Intellectual Property

You retain ownership of the content you submit to the platform, and your staff members retain ownership of any content they submit. We claim ownership of none of it. By submitting content, you (and each staff member who submits content) grant Service Well a non-exclusive, worldwide license to host, store, copy, process, transmit, and display that content as needed to provide, maintain, and secure the service.

AI-generated content (questions, flashcards, product descriptions) is generated for your use. You may use this content for your restaurant’s internal training purposes.

You also grant Service Well a license to retain and use records of AI generation and review — the content generated, the menu and product information it drew on, and the decisions made about it — to evaluate, calibrate, and improve the service, as described in our Privacy Policy; and to use de-identified and aggregated data derived from your content and your team’s use of the platform for the same purposes. These licenses survive the termination of your account.

The Service Well platform, including its design, code, and features, is the intellectual property of Service Well LLC.

If you send us suggestions or feedback about the service, we may use them without restriction or obligation to you.

We may identify your restaurant by name as a Service Well customer in our marketing, and you may ask us not to at any time.

8. Data and Privacy

Your use of Service Well is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

9. Service Availability

We strive to maintain high availability of the platform but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned maintenance.

10. Indemnification

You will defend, indemnify, and hold harmless Service Well LLC and its officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) content or data that you or your staff members submit to the platform, including its accuracy and your right to submit it; (b) your use of the platform in violation of these Terms or applicable law; or (c) your restaurant’s operations, including any claim arising from food safety, allergen handling, or the service of alcohol.

11. Limitation of Liability

To the maximum extent permitted by law, Service Well and Service Well LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

12. Disclaimer of Warranties

The platform is provided “as is” and “as available” without warranties of any kind, either express or implied. AI-generated content is provided as a starting point and should be reviewed for accuracy before use in training.

13. Termination

We may suspend or terminate your access to the platform if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users or the platform. We will provide notice before termination when practical.

What happens to your organization’s data after termination is described in our Privacy Policy.

14. Force Majeure

Neither party is liable for any delay or failure to perform, other than payment obligations, caused by events beyond its reasonable control — including natural disasters, war, terrorism, labor disputes, internet or utility failures, or acts of government. Obligations resume once the event ends.

15. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any dispute arising out of these Terms or the service will be brought exclusively in the state or federal courts located in King County, Washington, and both parties consent to the jurisdiction of those courts.

16. Assignment

You may not assign these Terms without our prior written consent, which we will not unreasonably withhold. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

17. Severability

If any provision of these Terms is held unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy and any written commitment we provide for your account (including any Founder’s pricing commitment), are the entire agreement between you and Service Well regarding the service, and supersede all prior or contemporaneous understandings not recorded in them.

19. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Continued use of the platform after changes constitutes acceptance of the revised Terms.
